General Terms

Eurion Active Pharmaceuticals (“the Company”) supplies products to its authorized dealers (“you” or “the Dealer”). These terms are intended to establish a clear business understanding, responsibilities, and transparency between both parties. By placing an order, the Dealer agrees to abide by all the terms stated below.

Orders and Stock

1. All orders are subject to product availability.
2. The Company reserves the right to accept or reject any order depending on stock conditions.
3. If any product is temporarily out of stock, the Company will inform the Dealer.
   • The Dealer may choose to place a backorder, or
   • Accept partial delivery of available products.

Payment Terms

1. All payments must be made as per the agreed terms with the Company.
2. Accepted payment modes include bank transfer, RTGS, IMPS, UPI, or cash (only if approved).
3. No order shall be processed without advance payment, unless the Dealer has been granted special credit terms in writing.
4. The Company reserves the right to withhold supplies or charge interest in case of delayed or pending payments.

Delivery & Transportation

1. Orders are generally dispatched within 2–7 working days after order confirmation and payment receipt.
2. The transport carrier may be selected by mutual consent between the Company and the Dealer.
3. Once the goods are dispatched, transit responsibility lies with the Dealer.
4. Any damage during transit must be claimed directly with the transport company as per their policy.
5. The Company shall not be held responsible for any transit delay or loss caused after dispatch.

Return / Replacement Policy

1. The Company strictly does not accept returns or refunds under any circumstances.
2. Replacement shall only be provided if:
   • The wrong item has been delivered, or
   • The product is found to be manufacturing defective, verified and approved by the Company.
3. Replacement requests must be made within 48 hours of product receipt, in writing, along with supporting proof.

Pricing Policy

1. Dealer pricing shall be based on the official Dealer Price List provided by the Company.
2. The Company reserves the right to revise product prices at any time with prior notice.
3. Dealers are not permitted to alter MRP or retail prices without the Company’s written consent.

Promotion and Brand Usage

1. Dealers may use the Company’s name, logo, or promotional materials only in ways that are officially authorized.
2. Misleading advertising, false claims, or unauthorized discounts are strictly prohibited.
3. The Company reserves the right to terminate dealership immediately in case of any brand misuse or policy violation.

Order Cancellation

1. Once an order is confirmed and payment has been made, it cannot be cancelled.
2. Refund or replacement will be provided only in case of an error from the Company’s side (e.g., wrong product sent).

Miscellaneous

1. All dealers must follow the Company’s ethical and business policies.
2. The Company reserves the right to amend these terms and policies without prior notice.
3. Dealers are bound to comply with the latest updated terms and conditions issued by the Company.
